In mergers and acquisitions, everyone desperately wants to know “The Multiple” — the Holy Grail you can multiply against a company’s earnings to instantaneously – and reliably – determine its value.

It’s the number whispered in the hallways at conferences – the de facto measuring stick of a successful deal – and the figure that gives sellers the confidence to go toe to toe with a buyer. But the thing is, at best, it’s false confidence. At worst, in the hands of a shrewd buyer, a multiple can be weaponized.
